Anthropic plans to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares to be offered and the price range for the proposed offering have not yet been determined.

The offering will be made only by means of a prospectus. Anthropic says copies of the preliminary prospectus, when available, may be obtained from Goldman Sachs & Co. LLC or Morgan Stanley & Co. LLC.

If you were hoping to buy shares in this offering, you cannot yet. The registration statement is not yet effective, and the securities may not be sold, nor may offers to buy be accepted, until it becomes effective. Anthropic also states that the announcement itself is not an offer to sell or a solicitation of an offer to buy these securities. Since the offering will be made only by means of a prospectus, that document, once available, is the one to read.

Our take:

nothing is on sale, so treat any offer of pre-IPO Anthropic shares with suspicion.
